WHEREAS, MusicEDU desires to engage Affiliate as a marketing affiliate for MusicEDU's products and services, and Affiliate desires to market and promote MusicEDU's products and services.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

Promotion and Marketing.

Affiliate shall market and promote MusicEDU's products and services as an affiliate in accordance with the terms of this Agreement. The affiliate may refer to themselves as a ‘MusicEDU Promotional Partner’ or ‘MusicEDU Ambassador’.

Commissions.

(a) Affiliate shall be paid a commission of 20% on conversions made through their unique affiliate link. Coupon code may also apply. This commission rate may be increased during promotional periods, at the discretion of MusicEDU.

(b) Affiliate shall only be eligible for a commission on conversions (paying customers) made within one year of the initial registration of a lead through its unique affiliate link. If the lead makes a purchase within that year, Affiliate shall receive the commission for that conversion.

(c) If Affiliate brings a lead out of the MusicEDU "void" (i.e. a lead that has not engaged with MusicEDU for over 12 months), Affiliate shall own that lead and be eligible for a commission on any conversions made to that lead.

Changes to Commission Structure and Program Rules.

MusicEDU reserves the right to change the commission structure and program rules at any time, upon giving Affiliate one month's notice of such changes.

Term and Termination.

(a) This Agreement shall commence on the Effective Date and shall continue until terminated by either party.

(b) Either party may terminate this Agreement at any time, for any reason or no reason, effective immediately upon giving the other party written notice of termination.

(c) Upon termination of this Agreement, Affiliate shall immediately cease promoting and marketing MusicEDU's products and services, and shall promptly return any confidential information or intellectual property belonging to MusicEDU.

Representations and Warranties.

(a) Each party represents and warrants to the other that it has the full right, power, and authority to enter into and perform this Agreement.

(b) Affiliate represents and warrants that its promotion and marketing of MusicEDU's products and services shall comply with all applicable laws, rules, and regulations.

Confidentiality.

Affiliates shall maintain the confidentiality of MusicEDU's confidential information, including but not limited to customer lists, pricing information, and trade secrets.

MusicEDU reserve all rights in relation to our copyright whether owned or licensed to us and all rights are reserved to any of our registered and unregistered trademarks (whether owned or licensed to us) which appear on this website

Governing Law and Jurisdiction.

This Agreement shall be governed by and construed in accordance with the laws of [insert governing law jurisdiction], without giving effect to its conflict of laws provisions. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of [insert jurisdiction].

It is the Affiliate’s sole responsibility to understand the laws pertaining to them in regards to their advertising or promotion.

Entire Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter hereof.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
